For any route, clarify who generates demand, who owns the customer relationship, who contracts/invoices and who delivers/supports. Ambiguity on these four questions creates channel conflict later.
Can both HQ and the partner answer the four questions identically?

Use direct sales to preserve learning
Direct sales can be particularly strong when the account universe is concentrated, deal value is high and headquarters needs firsthand market intelligence. Direct does not mean remote-only; local execution can support a direct customer relationship.
Would an intermediary materially improve access or delivery, or mainly sit between HQ and the customer?
Test direct coverage on strategic accounts before outsourcing the entire market.
Use distributors when distribution capability is part of the product
Physical products can require importing, inventory, logistics, local credit, installation or service. A strong distributor can make these capabilities available faster than building them internally.
Which operational functions beyond selling must exist for the customer to receive the product successfully?
Evaluate import, inventory, technical and financial capability—not only sales logos.
Use local partners for a defined constraint
An implementation partner, systems integrator, referral partner or sector specialist may solve a narrow need without taking full customer ownership. Partner roles should be explicit.
What capability would headquarters still own if the partner disappeared?
Design the partnership around the missing capability and preserve visibility into strategic accounts.
Treat commercial representation as a distinct legal structure
Brazilian Law 4,886 regulates autonomous commercial representation, while the Civil Code addresses agency/distribution. A commercial label does not determine legal classification, territory or termination economics.
Does the contemplated relationship fall within regulated commercial representation or another structure?
Have Brazilian counsel review the actual model before signing, particularly territory, exclusivity and commission provisions.
Prefer minimum channel complexity
Hybrid models can work—strategic direct accounts, distributors for physical coverage, partners for implementation—but every additional layer adds governance and conflict risk.
Does each channel exist because it solves a material constraint?
Use the fewest routes required to serve customers and add complexity only when evidence justifies it.
